1. General Provisions

These Terms & Conditions govern all contracts and business relationships between Edition One GmbH i.G. ("Edition One", "we", "us") and our customers ("you", "customer") for the purchase of sculptures, artworks, and related services through our website and other sales channels.

By placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. We reserve the right to modify these terms at any time, with changes becoming effective upon publication on our website.

2. Products and Services

Edition One specializes in luxury sculptures and custom artworks. Our offerings include:

• Ready-made sculptures from our curated collection
• Custom-commissioned sculptures based on customer specifications
• Limited edition artworks with certificates of authenticity
• Digital representations and NFT-linked physical artworks

All product images, descriptions, and specifications are provided for illustrative purposes. Due to the handcrafted nature of our artworks, slight variations in color, texture, dimensions, and finish are inherent characteristics and do not constitute defects.

3. Custom Commissions

Custom-commissioned artworks are individually crafted to your specifications. Due to the bespoke nature of these products, all custom orders are final and non-refundable once placed.

• Design Preview: You will receive a design preview for approval before production begins
• Production Timeline: Timelines are estimates; handcrafted items may require additional time
• Artistic Interpretation: Final artworks may vary from previews due to artistic interpretation and material characteristics
• No Cancellations: Once an order is placed, cancellations are not possible as production begins immediately

By placing a custom order, you acknowledge and accept that custom-commissioned artworks cannot be returned or refunded under any circumstances, as each piece is uniquely created for you.

4. User-Submitted Content and Uploads

When you upload images, reference materials, or any other content to our platform for custom commissions or artwork generation, you represent and warrant that:

• You own all rights to the uploaded content, or have obtained all necessary permissions and licenses
• The content does not infringe upon any third-party intellectual property rights, including copyrights, trademarks, or privacy rights
• The content does not violate any applicable laws or regulations
• You have the right to use any persons' likeness depicted in the content

You agree to indemnify and hold Edition One harmless from any claims, damages, or expenses arising from your uploaded content. Edition One reserves the right to refuse any content that we believe may infringe third-party rights or violate applicable laws.

5. Pricing and Payment

All prices are displayed in the applicable currency and include VAT where required by law. Shipping, handling, and insurance costs are calculated separately and displayed at checkout.

We reserve the right to correct pricing errors. If we discover an error in the price of goods you have ordered, we will inform you and give you the option to continue with the order at the correct price or cancel the order.

Payment must be received in full before shipment of ready-made items. For custom commissions, the remaining balance is due upon completion notification, prior to shipping.

6. Ownership and Risk Transfer

Retention of Title: All artworks remain the property of Edition One until the purchase price has been paid in full. You may not resell, pledge, or otherwise dispose of unpaid goods.

Risk Transfer: Risk of loss or damage passes to you upon delivery to the shipping address provided. We strongly recommend insured shipping for all purchases.

7. International Shipping and Delivery

Edition One ships internationally to customers worldwide. We use specialized art shipping services to ensure your artwork arrives safely. Delivery times vary based on destination, customs processing, and the nature of the artwork. Estimated delivery times are not guaranteed.

You are responsible for providing accurate shipping information. Additional costs arising from incorrect addresses, failed delivery attempts, or re-routing will be charged to you.

International Orders: Import duties, taxes, customs fees, and any other charges imposed by your country are the sole responsibility of the customer and are not included in our prices. These fees are determined by your local customs authority and must be paid by you upon delivery. We are not responsible for delays caused by customs processing.

By placing an international order, you agree to comply with all applicable import regulations in your country and accept responsibility for any additional fees or taxes that may apply.

8. Returns and Refunds

Ready-made Items: You have 14 days from delivery to request a return for ready-made items in original, undamaged condition with all packaging and certificates. Return shipping costs are your responsibility.

Custom Commissions: Custom-commissioned artworks are made to your specifications and are therefore non-returnable and non-refundable.

Damaged Items: If your artwork arrives damaged, please document the damage with photographs and contact us within 48 hours. We will work with you and our shipping partners to resolve the issue.

9. Intellectual Property

All intellectual property rights in our artworks, designs, images, and content remain with Edition One and our artists. Purchasing an artwork grants you ownership of the physical piece but does not transfer any intellectual property rights.

You may not reproduce, distribute, or create derivative works based on our artworks without express written permission. Limited personal photography for non-commercial purposes is permitted.

Marketing Rights: By purchasing from us, you grant Edition One the right to photograph and use images of your commissioned artwork for marketing, portfolio, and promotional purposes, unless you explicitly opt out in writing.

10. Limitation of Liability

To the maximum extent permitted by law, Edition One's liability for any claims arising from or related to our products or services shall not exceed the purchase price paid for the specific artwork in question.

We are not liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profit, revenue, data, or business opportunities
• Delays or failures caused by circumstances beyond our reasonable control
• Minor variations in handcrafted artworks from product images or descriptions
• Damage occurring after delivery and risk transfer

Nothing in these terms excludes or limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

11. Force Majeure

Edition One shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, pandemic, strikes, government actions, supply chain disruptions, or infrastructure failures. In such events, delivery times will be extended accordingly, and you will be kept informed of any significant delays.

12. Certificates of Authenticity

Each Edition One artwork comes with a Certificate of Authenticity. This certificate verifies the artwork's origin, edition number (where applicable), and artist information. The certificate should be kept with the artwork as it is essential for provenance, insurance, and potential resale. Replacement certificates may be issued upon request for a fee after identity verification.

13. Dispute Resolution

We are committed to resolving any disputes amicably. If you have a complaint, please contact us at contact@editionone.art, and we will work to find a satisfactory solution.

These Terms & Conditions are governed by the laws of the Federal Republic of Germany. Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany, unless mandatory consumer protection laws require otherwise.

14. Severability

If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that achieves the original intent as closely as possible.
